1. Introduction and Acceptance

Welcome to iPHD LED Lighting Solutions. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "Client," or "you") and iPHD ("Company," "we," "us," or "our") regarding your use of our LED outdoor lighting products, services, and related offerings.

By placing an order, accessing our website, or engaging with our products or services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of our products and services immediately.

2. Company Information

iPHD is a professional LED outdoor lighting manufacturer established in 2009, specializing in research, development, production, and sales of high-quality LED lighting products including floodlights, inground lights, wall lights, linear lights, underwater lights, fountain lights, street lights, and sports lighting solutions.

Our products are manufactured under strict quality control systems and hold international certifications including CE, RoHS compliance. All products are designed for export markets and serve customers across Europe, Southeast Asia, Middle East, Latin America, and other global regions.

4. Order Process and Pricing

All orders are subject to acceptance by iPHD. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product information, or issues identified by our fraud detection systems.

Pricing is quoted in USD and excludes shipping, insurance, customs duties, and applicable taxes unless specifically stated otherwise. Prices are subject to change without notice. Custom OEM/ODM pricing will be provided separately based on specific requirements and quantities.

5. Payment Terms and Conditions

Payment terms are typically 30% deposit upon order confirmation and 70% balance before shipment, unless otherwise agreed in writing. We accept bank wire transfers, letters of credit, and other mutually agreed payment methods.

Late payments may incur additional charges. Orders may be held or cancelled for non-payment. All banking fees are the responsibility of the customer unless otherwise specified.

6. Shipping and Delivery

Delivery times are estimates and may vary based on product availability, custom requirements, shipping method, and destination. We will provide tracking information when available.

Risk of loss and title to products pass to the customer upon delivery to the carrier. Customers are responsible for inspecting shipments upon receipt and reporting any damage or discrepancies within 7 days.

7. Warranty and Returns

Returns require prior authorization and may be subject to restocking fees. Custom products are generally non-returnable unless defective. Warranty does not cover damage from misuse, environmental factors beyond specifications, or normal wear and tear.

8. Technical Support and Installation

We provide comprehensive technical support including installation guidance, troubleshooting assistance, and project consultation. However, actual installation must be performed by qualified electricians in accordance with local electrical codes and regulations.

iPHD is not responsible for installation errors, code violations, or damages resulting from improper installation. Customers are responsible for ensuring compliance with all applicable local regulations and standards.

9. Intellectual Property Rights

All product designs, specifications, documentation, and related intellectual property remain the exclusive property of EcoLumen unless otherwise agreed in writing. Customers may not reverse engineer, copy, or reproduce our products without explicit permission.

For OEM/ODM projects, intellectual property ownership will be clearly defined in separate agreements. We respect customer proprietary information and maintain strict confidentiality protocols.

10. Limitation of Liability

This limitation applies regardless of the legal theory under which damages are claimed and even if we have been advised of the possibility of such damages. Some jurisdictions may not allow these limitations, so they may not apply to you.

11. Compliance and Certifications

All iPHD products comply with applicable international standards and hold relevant certifications including CE, RoHS, and others as specified. Customers are responsible for ensuring products meet local regulatory requirements in their jurisdiction.

12. Force Majeure

iPHD shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, material shortages, transportation delays, or other unforeseeable circumstances.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from these Terms or related transactions shall be resolved through binding arbitration or in the courts of [Jurisdiction], as mutually agreed by the parties.
